New Chief Executive Officer of MANITOU

Jean-Christophe Giroux is appointed as Chief Executive Officer of MANITOU
In their meeting which took place on June 2, 2009 the Supervisory Board presided over by Mr. Marcel Braud decided to appoint Mr. Jean-Christophe Giroux as Chief Executive Officer replacing Mr. Marcel Claude Braud. This change is the result of a reflection of several months the necessity of which is emphasised by the events which took place at the end of 2008; the contraction of the order-book on a world-level, the acquisition of GEHL in the United States, the urge for a clear and efficient organisation, call for a management both global and reactive
at the Head of the Group, allowing MANITOU to better adapt to its new
environment and to consolidate its leadership.
This decision, which mirrors the wish of the founding Family to concentrate on the governance of the company, as well as on its strategy, will be coupled with a return to a legal structure based on a Board of Directors, both simpler and more efficient on a operational point of view. This new organisation-scheme in which Mr. Marcel Braud will become non-executive Chairman of the Board and Mr. Jean-Christophe Giroux will continue as the Chief Executive Officer, will be submitted –after all legal details have been finalised– to the approbation of an
Extraordinary General Assembly of MANITOU shareholders which will be called in autumn.

Friendly Tender Offer to acquire GEHL

MANITOU announces the launch of a friendly tender offer to acquire all shares of
common stock of GEHL Company, a NASDAQ listed U.S. company headquartered in West Bend, Wisconsin.

MANITOU’s strategic acquisition is consistent with the Group’s growth plans in the U.S. and globally, and will
enable MANITOU to:

- Establish global leadership in the rough terrain material handling equipment sector by building a presence in the U.S.;
- Strengthen its operations in both the construction and agriculture segments of the U.S. market, with equipment tailored for those market segments and sold through three separate distribution channels: GEHL, MUSTANG and MANITOU;
- Complement its offering of compact equipment with the addition of the mini skid loader product line, a segment in which GEHL is a global leader;
- Increase its production capacity in the United States to better position itself for U.S. dollar based transactions in global markets;
- Accelerate the Group’s global growth through the sharing resources and capacities.

The post-merger entity will greatly benefit from a combination of the two companies, due to their
complementary nature, specifically with respect to product lines, expertise and geographic presence.
